Scope
These Terms and Conditions apply to all contracts between FMD Labs GmbH, Ernst-Haeckel-Platz 5/6, 07745 Jena, registered with the Commercial Register at the Local Court of Jena, HRB 523255, represented by its management – hereinafter referred to as the "Provider" – and its customers ("Customer") regarding the use of the web-based SaaS service BacklinkGPT.
BacklinkGPT is directed exclusively at businesses. By registering, the Customer confirms that they are acting as an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB) — in the exercise of their commercial or independent professional activity — and not as a consumer.
Subject of the Contract
The Provider grants the Customer access to the web application BacklinkGPT via the internet as a Software-as-a-Service (SaaS) solution. BacklinkGPT is an AI-assisted link-building agent that sources prospect pages, suggests contacts, drafts outreach messages, and — once the Customer connects sending accounts and approves or enables sending — sends and manages outreach on the Customer's behalf. Use is limited to browser-based access.
Conclusion of the Contract
The contract is concluded when the Customer registers on the BacklinkGPT platform and accepts these Terms, and the Provider confirms the registration. Alternatively, a written contract may be concluded.
Free Trial
Paid plans may start with a free trial. The trial length and the price of the plan that follows are displayed before the trial starts. A payment method is required to start a trial.
- The trial converts automatically into a paid subscription at the end of the trial period, and the displayed plan price (plus applicable VAT) is charged to the stored payment method — unless the Customer cancels before the trial ends. Cancellation during the trial is free of charge and available self-serve in the subscription settings.
- The Customer may end the trial early ("activate") at any time; in that case the paid plan starts, and is charged, on the day of activation. The exact charge is displayed before activation is confirmed.
- The Provider may extend a trial (for example when setup milestones are reached); an extension never triggers a charge by itself.
- Trial usage may be subject to reduced limits (for example fewer drafts, no connected sending, or capped credits).
Fees, Payment, and Automatic Renewal
The use of BacklinkGPT is subject to a recurring fee according to the selected subscription plan. All prices are exclusive of statutory VAT.
- Billing is monthly or annually in advance. Subscriptions renew automatically for successive billing periods until canceled. The renewal price is the plan price applicable at the time of renewal; price changes are announced in advance in accordance with the "Changes to the Terms" section.
- Payments are processed by our payment partner Polar acting as merchant of record; Polar's own terms additionally apply to the payment transaction.
- Access to the software may be suspended in the event of payment default.
Cancellation
The Customer may cancel the subscription at any time, self-serve, in the subscription settings — no phone call, email, or notice period required. Cancellation takes effect at the end of the current billing period; the Customer keeps access until then, and no further charges are made after that date. Where offered, the Customer may alternatively pause the subscription; billing stops for the pause period.
The Provider may terminate the contract with 30 days' notice to the end of a billing period. The right of both parties to terminate for good cause without notice — for the Provider in particular in the event of serious or repeated breaches of the Customer's obligations under these Terms — remains unaffected.
Refunds
- Within 24 hours of a charge, the Customer may request a full refund of that charge, self-serve, in the subscription settings — no questions asked.
- Within 7 days of a charge, the Customer may request a refund of that charge reduced by the value of usage already consumed — in particular prospecting credits used in the billing period (pro-rata of the plan price) and connected sender accounts. The exact refund amount, including an itemized breakdown, is displayed before the refund request is confirmed. Requesting a refund ends the subscription immediately.
- The self-serve refund option is limited to a Customer's first billing periods; Customers with a longer billing history are asked to contact support.
- After 7 days, charges are non-refundable, except where the Provider decides otherwise in individual cases. Mandatory statutory rights remain unaffected.
Credits and Fair Use
Plans include usage allowances (in particular prospecting credits and connected sender account seats) as described on the pricing page. Plan allowances reset with each billing period and do not roll over, unless stated otherwise at purchase. The Provider may throttle or pause automated activity that exceeds the plan's allowances or indicates abuse, and will surface this in the product.
Services Provided by the Provider
- Provision of the current version of BacklinkGPT
- Storage of Customer-entered data
- Internet access to the platform at all times, except during planned maintenance
- Technical support as per the selected subscription plan
The Provider reserves the right to further develop the software functionally and technically, provided that the changes are reasonable for the Customer.
Customer Obligations
- Provide accurate information during registration
- Keep login credentials confidential
- Use the software only within the agreed scope
- Avoid illegal content or actions on the platform
Outreach sent via BacklinkGPT is the Customer's own communication. The Customer is responsible for reviewing and approving outreach — or for the consequences of enabling automatic sending — and for ensuring that their outreach complies with applicable law in every jurisdiction they target, in particular anti-spam, competition, and data-protection law (for example CAN-SPAM, GDPR, Section 7 UWG).
Connected third-party accounts (for example email mailboxes or LinkedIn profiles) are connected at the Customer's own risk and remain subject to the respective third party's terms of service. The Provider does not warrant that automated use of a connected account is permitted by the third party and is not liable for restrictions a third party imposes on the Customer's account.
AI-Generated Content and Results
BacklinkGPT uses artificial intelligence to select prospects, draft messages, and make narrow judgment calls. AI-generated content can be inaccurate or incomplete; the Customer is responsible for the content they approve or allow to be sent. The Provider does not warrant any particular outcome — in particular no specific number of replies, placements, or backlinks, and no specific effect on search rankings.
Usage Rights
The Customer receives a non-exclusive, non-transferable, and non-sublicensable right to use BacklinkGPT for the duration of the contract.
Availability and Liability
- The Provider ensures an average software availability of 99% per year.
- In cases of slight negligence, the Provider is only liable for breaches of essential contractual obligations (cardinal obligations).
- Liability is limited to typical, foreseeable damages.
- The Provider is not liable for data loss if the Customer has not fulfilled the obligation to back up data regularly.
Data Protection
The Provider processes personal data in accordance with applicable data protection laws. For details, please refer to the Privacy Policy.
Changes to the Terms
The Provider reserves the right to change these Terms and Conditions with future effect. Changes will be communicated to the Customer at least 30 days before they take effect via email. If the Customer does not object within this period, the changes are deemed accepted.
Final Provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- The place of jurisdiction is Jena, if the Customer is a merchant.
- If any provision of these Terms is or becomes invalid, the validity of the remaining provisions shall not be affected.
